
MEDRAD has a longstanding history of ethical behavior and compliance, as a result of the quality of its employees and their commitment to the MEDRAD Mission, the MEDRAD Philosophy, and the MEDRAD Guiding Principles for Managing and Leading. On July 18, 2001, we formalized our commitment to ethics and compliance by adopting our Code of Business Conduct.
The Code of Business Conduct applies to all MEDRAD employees around the world, including senior management. We also expect that the companies and individuals with whom we do business will conduct their respective businesses in a manner consistent with MEDRAD's ethical standards.
The Code of Business Conduct codifies the existing principles and rules traditionally followed by MEDRAD, and specifically addresses MEDRAD's requirement that all business be conducted with Integrity, and in Compliance with applicable laws, regulations and MEDRAD internal policies. Our Code of Business Conduct also reinforces each employee's responsibilities to MEDRAD. By providing employees with guidance in areas regarding conflicts of interest, confidentiality and safeguarding the funds and assets of MEDRAD, the Code of Business Conduct further maximizes shareholder value.

MEDRAD, INC. on behalf of itself and its subsidiaries has established and is operating under a Comprehensive Compliance Program that, where applicable, is in accordance with the “Compliance Program Guidance for Pharmaceutical Manufacturers” developed by the United States Department of Health and Human Services Office of Inspector General by adopting the Advanced Medical Technology Association Code of Ethics on Interactions with Health Care Professionals (the “AdvaMed Code”). The AdvaMed Code regulates MEDRAD’s interactions with Heath Care Providers including limiting the amount of spending permitted. MEDRAD has also adopted a policy limiting the monetary amount of gifts allowable to California Health Care Providers.
